Adhoc Announcement: Wolftank-Adisa Holding AG announces capital increase

The Management Board of Wolftank Adisa Holding AG today decided, with the approval of the Supervisory Board, to increase the company’s share capital from currently EUR 1,111,000.00 by up to EUR 111,100.00 to EUR 1,222,100.00 by issuing up to 111,100 new bearer shares (equivalent to up to 10 percent of the current share capital) through partial use of the existing authorised capital against cash contributions, excluding the subscription rights of existing shareholders.

The newly issued shares will be offered in a private placement to selected qualified and long-term oriented institutional investors at a price of EUR 30.00 per share.
These new shares are entitled to dividends for the current financial year in which they are issued as well as for the previous financial year, provided that no distribution resolution has yet been passed for the net profit in the current fiscal year.

The funds will be used to finance the further strong international growth of the Group, to strengthen the equity base as well as the increase of the free float.
